Terms of Service

1. Acceptance of Terms

By accessing or using the ChatPay application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App. These Terms constitute a legally binding agreement between you and Matrixcorp Technologies SAPI de CV ("Company," "we," "us").

2. Eligibility

You must be at least 18 years old to use ChatPay. By using the App, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the App on behalf of an organization, you represent that you have authority to bind that organization.

3. Description of Service

ChatPay is a blockchain-based messaging platform where initiating contact with another user requires a one-time peer-to-peer micro-transaction on the BNB Smart Chain. Once contact is established, ongoing messaging within that conversation is free. The service includes:

• Encrypted peer-to-peer messaging
• Blockchain-based transaction processing for first-contact fees
• Non-custodial wallet integration for BNB Smart Chain via Reown
• User profile and account management
• Group chat features including moderation tools (block, slow mode)

4. Account Registration

To use the App, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

5. Wallet and Blockchain Transactions

• You are solely responsible for your blockchain wallet, including private keys and seed phrases.
• All blockchain transactions are irreversible. We cannot reverse, cancel, or refund any on-chain transaction.
• Transaction fees (gas) on the BNB Smart Chain are determined by network conditions and are outside our control.
• We do not provide financial, investment, or tax advice. Consult a professional for guidance.

6. Acceptable Use

You agree not to use ChatPay to:

• Send spam, unsolicited messages, or engage in harassment
• Distribute malware, viruses, or harmful code
• Engage in fraud, phishing, or impersonation
• Distribute illegal content, including content exploiting minors
• Violate any applicable local, national, or international law
• Attempt to reverse-engineer, hack, or exploit the App or its smart contracts
• Use the App for money laundering or terrorist financing

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

7. Intellectual Property

All content, features, and functionality of the App (including design, code, logos, and branding) are owned by Matrixcorp Technologies SAPI de CV and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. User Content

You retain ownership of messages and content you create. By using the App, you grant us a limited license to process and transmit your content solely for the purpose of providing the service. We do not claim ownership of your messages.

9. Disclaimers

• The App is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee uninterrupted, secure, or error-free operation.
• We are not responsible for losses resulting from blockchain network issues, smart contract vulnerabilities, or third-party services.
• Cryptocurrency values are volatile. We are not responsible for any financial losses.

10. Limitation of Liability

To the maximum extent permitted by law, Matrixcorp Technologies SAPI de CV and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or crypto assets, regardless of the cause of action.

11. Indemnification

You agree to indemnify and hold harmless Matrixcorp Technologies SAPI de CV from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated through the App or by email. Continued use after changes constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the App at any time for violation of these Terms. Upon termination, your right to use the App ceases immediately. Blockchain data associated with your account remains on-chain and cannot be deleted.

14. Governing Law

These Terms are governed by the laws of Mexico. Any disputes shall be resolved in the courts of Mexico City, Mexico.
